GENERAL CONDITIONS OF ELECTRONIC SALES.

  1. Scope of application.

These General Conditions are intended for the purchase of products and services made remotely via the Internet from the website managed by the company.

These General Conditions of Sale will apply to all deliveries made by Sabina Teruel or on behalf of its website www.sabinis.es, unless different conditions are established in the Specific Offers.

  1. Acceptance of the general conditions of sale.

2.1. The Customer, via the email confirming his purchase order, unconditionally accepts and undertakes to comply with his relations with the online store. The general and payment conditions are those indicated in this contract, the Customer declaring that he has read and accepted all the indications given to him in the terms of the aforementioned regulations, and also taking into account that the online store itself is only bound by the conditions previously established in writing.

2.2. The sale and supply of Products by Sabinis, its divisions, subsidiaries and affiliates is subject to these general terms and conditions (the “Terms” and the contract between the Client and Sabinis governed by these Terms and Conditions shall be collectively referred to as the “Contract”), without giving effect to any other different or additional terms that may be contained in any purchase order, document or other communication (the “Order”) and that modify, alter or contradict the terms of this Contract. No pre-printed term or condition included in any other Client document, such as Orders or Confirmations, shall alter or supplement the terms of this Contract, even if Sabinis has not objected to such additional or conflicting terms.

  1. Client Obligations.

3.1. The General Conditions of Sale must be read ONLINE by Customers visiting the website and the virtual store before confirming their purchases. Therefore, sending the order confirmation implies full knowledge of these General Conditions of Sale and their full acceptance. The Customer undertakes, once the online purchasing process has been completed, to print and keep these general conditions of sale, already read and accepted during the purchasing process, in order to fully comply with Spanish law.

3.2. The Client shall be solely liable, exonerating Sabinis where applicable, for any damages arising from improper use, storage, preservation or handling of the Products; in particular when the Client has not observed the indications, warnings or instructions that Sabinis may have provided in this regard.

3.3. Any information about the Products (including, for example, technical or other instructions and advice, advertising information, technical specifications, their functions, their classification for the purposes of export and import controls, their uses or their compliance with legal or other requirements) is provided by Sabinis on an “as is” basis, without Sabinis assuming any responsibility or warranty for it. Such information does not form part of the properties of the Product. Sabinis makes no representation or warranty as to the accuracy or completeness of the Product information, and ASSUMES NO LIABILITY WHATSOEVER IN CONNECTION WITH ANY PRODUCT INFORMATION. Sabinis recommends that the Customer validate any information regarding the Product before any use or action on such information. All Product information is subject to change without notice. Sabinis also assumes no responsibility for typographical or other errors, or for possible omissions in the product information.

  1. Placing an order in the online store

The Customer purchases the products, available as described ONLINE in the relevant descriptive and technical sheets, at the price INCLUDING VAT. Before confirming the purchase, the Customer will be given a summary of the unit cost of each preselected product or the total cost in the case of purchasing more than one product. Upon confirming the purchase, and at the end of the transaction, the Customer will receive information on the Number, Date, Total Amount of his Order and his shipping number or code, through which he will be able to track it and know its status at all times.

  1. Payments.

5.1. Payment for the purchased products and the costs related to their delivery must be made by the Customer when sending the order confirmation via PayPal, credit or debit card.

5.2. If the payment is not credited by the financial institutions, the request will not be taken into consideration.

5.3. In the event of total or partial non-payment of the price of any order of Products, on the due date, and in application of Law 3/2004 of December 29, which establishes measures to combat late payment in commercial transactions, Article 5, the amount due and unpaid will accrue the corresponding late payment interest without the need for notice of due date or any summons from Sabinis, in addition to the Customer being responsible for any return costs that Sabinis may incur. Likewise, Sabinis will be authorized to suspend or cancel pending deliveries of Products to the Customer while the order for which payment is due and payable is not paid, or to require advance payment of any new order.

  1. Availability and delivery of products.

6.1. Our warehouse shall be considered the place of delivery for all transactions. The delivery date shall take place when payment has been made or when the goods are ready for delivery/shipment.

6.2. Delivery times are approximate and any delay in these does not in any case give rise to a possible claim for damages.

  1. Transport

7.1. The merchandise will always travel with carriage paid and charged on the purchase invoice.

7.2. The Client may not indicate the means of transport by which he wishes to receive the goods; they will be sent by the means that our firm considers appropriate.

7.3. Upon departure of the order from Sabinis warehouses, the Customer will receive an informative email with a tracking number from the transport company.

7.4. Shipping costs will vary depending on weight, volume and country of shipment.

7.5. The Client may and must consult the present shipping rate, thus the Client is the only party responsible, exonerating Sabinis, for any claim.

7.6 The Sabinis online store sells to the following countries:

Spain, Portugal, France, Germany, Luxembourg, Netherlands, Sweden, Croatia, Denmark, Ireland, Latvia, Bulgaria, Slovenia, Estonia, Greece, Malta, Poland, Czech Republic, Austria, Cyprus, Slovenia, Finland, Hungary, Lithuania and Romania.

-Depending on the destination country, shipping costs will vary.

-Depending on the country, different customs/tax charges may apply. These costs will be borne by the customer receiving the order.

-Sabinis does not ship to the following areas of the European Union countries: Ceuta, Melilla or the Canary Islands (Spain), Heligoland Island and the city of Büsingen (Germany), the Faroe Islands and Greenland (Denmark), the Aland Islands (Finland), Mount Athos (Greece), San Marino, Livigno, Campione or the areas of Lake Lugano (Italy), Channel Islands and Gibraltar (United Kingdom).

  1. What to do when you receive your order?

8.1. Check receipt of shipment.

8.2. Check that the product corresponds to the order and that it does not present any apparent damage. If everything is in order, accept the delivery.

8.3. If the product does not correspond to what you ordered or if it has external damage, reject the order stating the problem.

8.4. Send an email to hola@sabinis.es within two (2) business days to indicate the problem.

  1. Generalities

9.1. Placing an order in the online store implies acceptance by the Customer of these legal conditions. No stipulation made by the Customer may differ from those of the online store if it has not been expressly accepted in advance and in writing by the online store.

9.2. An order is not final until it is accepted by the Online Store.

9.3. Sabinis is hereby excluded from all liability for damages caused by defects in the Products, except where expressly required to do so by applicable mandatory law, such as in the case of death or personal injury. Sabinis shall not be liable for indirect damages, loss of profits, production or benefits.

9.4. In any case, if Sabinis is obliged to assume liability for damages suffered by the Client, such liability shall be limited to an amount equivalent to the amount corresponding to the order of the Product causing the damage, unless an applicable mandatory law imposes a higher quantitative limit on Sabinis.

  1. Prices

10.1. The published prices are valid except in the case of typographical errors or lack of stock. The prices of the products shown INCLUDE VAT.

10.2. Prices are for the material delivered to our Sabinis warehouse and do not include taxes or transport costs. Packaging is included in the price unless otherwise indicated.

10.3. Sabinis may modify the sales prices of the Products at any time. The increase in the sales price will not affect those orders for Products in progress that have been previously accepted by Sabinis. In the event that the Client places an order for Products with an incorrect price, Sabinis will inform the Client of the correct price and, where applicable, its acceptance to process the order, provided that the Client expressly confirms this (with the correct price) within two (2) days following.

10.4. Prices are subject to change at any time. Prices express the value of the Products only and do not include taxes, shipping, freight or customs duties, or any other charges or costs, such as those related to special packaging and labelling of the Products, permits, certificates, declarations and customs registrations (collectively, the “Additional Costs”). Additional Costs shall be borne by the Customer.

10.5. The prices published on this website correspond to the European currency “euro”.

10.6. Customers whose countries of residence operate with a currency other than the Euro must take into account that the financial institutions in charge of the payment methods enabled by the online store will always take the equivalent for their payment. If for reasons beyond Sabinis' control this is not done and there is a difference in exchange rates, then Sabinis will notify the Customer since their order will not be taken into consideration until payment is 100% in Euros.

  1. Terms of payment

Products and services will be paid for by PayPal, or by credit or debit card, provided that these payment systems are implemented on the website, operational and accessible. Likewise, the online store guarantees that European legislation will be complied with when it comes to having the necessary security measures for the provision of bank details.

  1. LOPD

For the purposes of the provisions of the regulations on the protection of personal data, the online store informs the User of the existence of a personal data file of users (Clients) who enter their data on the Corporate Website, created for the purpose of carrying out information, training and commercial promotion tasks for the services of the online store. Likewise, the online store informs you of the possibility of exercising your right of access, rectification, cancellation and opposition of the personal data included in the aforementioned file. The online store undertakes to comply with its obligation of confidentiality of personal data and its duty to store them, and will take the necessary measures to prevent their alteration, loss, processing or unauthorized access, taking into account, in any case, the state of the technology.

  1. Shipping

13.1. The online store will not send any product until the Sales Department has verified that 100% of the payment has been made.

13.2. Delivery shall be deemed to have been made when the online store has made the products available to the Customer and the Customer has accepted the delivery receipt. It is the Customer's responsibility to check the products upon receipt and to state any justified reservations and complaints in the email provided on the Website.

13.3. Delivery times are those indicated by the Online Store, and the Online Store endeavours to respect them. However, a delay in delivery times will not imply the cancellation of the order or entail the payment of any compensation. Any penalty clause for delay introduced by the Customer in his order shall be void.

13.4. The online store will always try to send the products using the system chosen by the store. However, in the event of transport failures beyond the control of the online store, the online store reserves the right to resend them by the means it deems appropriate if this is necessary to meet its commitments.

13.5. Delivery times are those indicated for each product, but may be subject to availability due to dates or lack of stock.

13.6. Any modification to the delivery date by the Client must be expressly accepted by Sabinis.

13.7. Sabinis reserves the right to interrupt delivery of ordered goods, without incurring any liability, in the event of non-payment by the Client of any outstanding amount when due or in the event of the Client's financial insolvency.

  1. Claims and returns

14.1. Any claim for damage to the merchandise must be brought to our attention within forty-eight (48) working hours in Spain following receipt of the shipment, so that we can proceed with the corresponding claim to the carrier.

14.2. In the event of a return due to a shipping error or for reasons attributable to Sabinis, shipments with carriage due will not be accepted. Our firm will take care of the corresponding procedures, both to remove the incorrect merchandise and to replace the correct one.

14.3. Any claim for non-delivery or error in delivery must be notified within a maximum period of 48 working hours in Spain from the date of shipment of the material.

14.4. The Customer will not have the right to request a refund if he/she has not reported the error/defect by sending an email to the Customer Service at hola@sabinis.es within forty-eight (48) business hours in Spain after receiving the order to inform us of the problem.

14.5. The products supplied by Sabinis shall be used exclusively for the purposes specified by the respective manufacturer. The Client shall be solely responsible for any consequences that may arise from improper use of the products supplied.

14.6. Claims for damages made by the Client for any reason are expressly excluded where there is no gross negligence or fraud on the part of Sabinis.

14.7. The Customer's acceptance of the quantity of Products delivered in respect of a particular order shall be effected by signing the corresponding delivery note at the time of delivery. If the Customer does not make a claim regarding a possible defect in quantity or quality within the stipulated time after receiving the Products, Sabinis shall not assume any liability.

14.8. The Client must examine the Products as soon as possible after receipt to verify their conformity with the type of Product ordered and the absence of apparent or hidden defects in them. In any case, after receipt of the Products, the Client will have a period of fifteen (15) days to make a claim to Sabinis for any difference in the type of Products delivered with those ordered or for the existence of an apparent defect in them. If the Client detects a possible internal or non-apparent defect in the Products,

14.9. Products returned must be in the same condition as they were originally delivered, new and unused, with all labelling and accessories intact.

14.10. Sabinis will not accept changes or returns due to errors by the Customer when selecting the size or color of the product.

14.11. In cases where the Client must be reimbursed, Sabinis will arrange for the refunds within a peremptory period and in the same way as the purchase was made, using the same provider (PayPal, Visa, MasterCard, etc.). Sabinis will not be responsible for the processing times of the aforementioned providers.

14.12. For refunds made by Sabinis to Customers whose currency is not the Euro, point 10.6 of these General Conditions of Electronic Sale must be taken MUTATIS MUTANDIS.

14.13. The mechanics and steps that the Client must follow to make returns are stated in the shipping confirmation email and on the delivery note, as they may be modified depending on the delivery service provider and the country of destination.

14.13. Return costs will be borne by the Customer and will be deducted from the refunded amount after acceptance of the return of the purchase.

  1. Warranties

15.1. Sabinis guarantees the quality and reliability of the products, ending this when the goods have been modified, manipulated or dismantled, since any modification is understood to be made under the responsibility of the Client.

  1. Final clarification

16.1. To the extent permitted by applicable law, neither Sabinis nor its employees or agents shall be liable, and the Client shall not be entitled to claim, for any indirect, special, incidental or consequential damages, or for any consequential damages or loss of profits, which may be caused; for example, they shall not be liable for reductions in profits or income, loss of data, interruptions in use, rework, additional manufacturing costs, damage to goodwill, or loss of Clients. To the extent permitted by applicable law, and only in the event of direct damage being caused, Sabinis shall compensate the Client with an amount that may never exceed the original price of the Product in question. To the extent that applicable law does not consider such limitations of liability applicable, Sabinis' total liability for any incident that may occur shall in no event exceed ONE HUNDRED (100) EUROS or its equivalent.
